THESE SUBSCRIPTION TERMS AND TERMS OF SERVICE (HEREINAFTER “TERMS”) APPLY TO THE WEBSITE OF WORKPLACE ACADEMY LLC, (HEREINAFTER “WA”) AND THE PURCHASE OR ACCESS TO, AS WELL AS USE OF, ANY TRAINING PRODUCTS OR OTHER MATERIALS OFFERED THROUGH THE WEBSITE. PLEASE CAREFULLY READ THESE TERMS AND THE ACCOMPANYING PRIVACY POLICY. THIS PRODUCT IS OFFERED FOR PURCHASE BY BUSINESSES ONLY (HEREINAFTER “SUBSCRIBER”), I.E. IT IS NOT OFFERED FOR PURCHASE OR USE BY INDIVIDUALS OR GOVERNMENT ENTITIES. 

THE TRAININGS AND MATERIALS ON THIS WEBSITE ARE TO BE USED BY SUBSCRIBER TO TRAIN ITS EMPLOYEES AND/OR CONTRACTORS ONLY. WAS TRAINING PRODUCTS MAY NOT BE SUBSCRIBED TO BY INDIVIDUAL CONSUMERS FOR THEIR OWN USE, AND IT IS NOT A RETAIL PRODUCT. THE TRAININGS ON THIS WEBSITE MAY NOT BE DOWNLOADED, REPRODUCED OR RESOLD. ADDITIONALLY, THIS PRODUCT IS NOT DESIGNED TO COMPLY WITH OBLIGATIONS OF GOVERNMENTAL ENTITIES AND ANY GOVERNMENT ENTITY WISHING TO USE THIS PRODUCT MUST SELECT THE CUSTOMIZATION OPTION AND MAKE ARRANGEMENTS WITH WA TO SUBSCRIBE TO A PRODUCT APPROPRIATE FOR ITS EMPLOYEES.

WA RESERVES THE RIGHT TO CHANGE THESE TERMS AND THE PRIVACY POLICY AT ANY TIME, AND THEY MAY HAVE CHANGED SINCE SUBSCRIBER’S LAST VISIT TO THE WEBSITE. BY USING THIS WEBSITE, SUBSCRIBER ACKNOWLEDGES SUBSCRIBER’S AGREEMENT TO THESE TERMS AND THE ACCOMPANYING PRIVACY POLICY. IF SUBSCRIBER DOES NOT AGREE, THEN SUBSCRIBER IS NOT AUTHORIZED TO USE THIS WEBSITE OR ACCESS ANY OF THE MATERIALS OR TRAININGS OFFERED ON THIS WEBSITE.

Unless otherwise agreed to Subscriber understands that each subscription is for a period of one year. Subscriber understands that one year after initial purchase of the subscription Subscriber’s subscription will be automatically renewed for the next year, (as well as the year(s) after any renewal year) at its then current subscription level for an additional year, unless WA is notified in writing by Subscriber of Subscriber’s intention not to renew at least thirty (30) days prior to the renewal date.  

The level of subscription chosen by Subscriber sets the limit of the individuals Subscriber may allow to access the trainings per year. If Subscriber goes more than ten (10) percent over this level, Subscriber understand that it will automatically be charge at the next higher subscription level for that year, and any subsequent subscription years.  

Subscriber will be charged with an access of the training when it has an individual (whether an employee or independent contractor), who would get credit for taking a training start the training, whether or not the individual completes the training within the completion period (which is set by WA in its discretion). If the individual does not complete it within the time allowed and has to be provided access to the training again, this will count as an additional access to the training which will be charged against the Subscriber’s annual access limit.

The materials and trainings on this website do not constitute legal advice and are provided only for human resources informational and training purposes. The transmission of information to or from this website is not secure or confidential and does not create an attorney-client relationship. If Subscriber or its employees have a legal question, they should consult legal counsel and Subscriber and its employees should not rely on any information provided through this website. WA expressly disclaims any and all liability that might be associated with Subscriber’s acting or refraining from acting based on any and all information/trainings on this website, or on any actions taken by an employee or contractor Subscriber gives access to trainings on this Website, purportedly based on the contents of the training.

WA retains all intellectual property rights in its trainings and Subscriber’s subscription only allows it access to the trainings and other materials offered through WA’s website. Subscriber has no right to modify, reproduce, redistribute, alter or use the materials other than for the purposes of the subscription purchased from WA. This website contains information, text, images, logos, arrangements and other materials that are protected by copyrights, trademarks or other proprietary rights. The WA name, logo and all related marks are service marks of WA and may not be used or displayed without prior written consent. Materials published in this website are protected by U.S. and international copyright laws and treaties, and all rights are reserved. Unless otherwise noted, all materials are copyrighted by WA. Materials on this website may not be reproduced, republished or redistributed in any form without the express prior written consent of the copyright holder.  

WA only collects data that is entered by Subscriber to facilitate the Subscriber’s training and reporting process. No information from minors is collected by WA, and Subscriber agrees that it should not and shall not enter information on minors which is prohibited by any state, federal or international law. Subscriber also agrees that it will not enter any information, upload content or take any action in relation to WA’s site or products which is illegal, fraudulent, obscene, or of a violent nature. 

Subscriber acknowledges that it is ultimately responsible to ensure that anyone it allows access to the materials on this site is able to access its contents including the training. While WA may allow Subscriber access to certain tools that may assist the Subscriber in making the training or materials on this website accessible, it is Subscriber’s ultimate responsibility to make the training or materials on the website accessible to those individuals it permits to access the website’s trainings and materials. Any claim by any individual, that Subscriber permits to access the website’s trainings or other materials on the website, that such materials are not accessible to them (due to disability or other reason) are solely the responsibility of Subscriber and Subscriber agrees to indemnify WA to the fullest extent permitted by law, and as set forth in the indemnity provisions of these Terms.

All information and materials submitted through the website, such as questions or answers, are the exclusive property of WA. WA is entitled to use any information submitted for any purpose, including sublicensing, without restriction (except as stated in the Privacy Policy) or compensation to the person sending or authoring the submission.

SUBSCRIBER’S SOLE REMEDY FOR DISSATISFACTION WITH THE WEBSITE OR ITS MATERIALS IS TO STOP USING THE WEBSITE OR ITS MATERIALS.

By using this website and/or the trainings and other materials offered on the website, Subscriber agrees to indemnify, hold harmless and defend WA from any claims, damages, losses, liabilities, and all costs and expenses of defense, including (but not limited to), attorneys' fees resulting directly or indirectly from a claim by a third party (including but not limited to anyone to which Subscriber allows access to WA’s website, its trainings and materials) that alleges injury, damage or harm arising in whole or in part from WA’s provision of information, trainings or materials from, or claimed to be from, this website, or that in any way arises from Subscribers use of this website or trainings or information provided by this website, or Subscribers violation of any of these Terms. 
By using this website, Subscriber agree that these Terms are governed by and shall be construed in accordance with the laws of the State of New York, notwithstanding any principles of conflicts of law, and Subscriber consents to the exclusive venue and jurisdiction in the federal or state courts with jurisdiction over Rockland County, New York for any action arising out of or relating to these Terms. Subscriber agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to Subscriber’s use of the website must be filed within one (1) year after such claim or cause of action arose or such claim shall be forever barred.

The Terms and the accompanying Privacy Policy (collectively, the “Terms of Use”) represent the entire Agreement between the parties relating to the subject matter herein and shall not be modified except in a writing signed by both parties or by our posting a new version of these Terms of Use. Neither the course of conduct between Subscriber and WA, nor standard industry practice, shall act to modify any provision of these Terms of Use. If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, Subscriber nevertheless agree that the court should endeavor to give effect to the intentions of WA as reflected in the provision, and that the other provisions shall remain in full force and effect. Any failure to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision.
